Terms and Conditions
1. Introduction
1.1. These Terms and Conditions govern the sale of products and services by Stronghold Fire & Security cc ("the Company") to the customer ("the Client").
1.2. By placing an order with the Company, the Client agrees to be bound by these Terms and Conditions.
2. Definitions
2.1. "Products" refer to industrial and commercial doors, frames, ironmongery, and related accessories manufactured or supplied by the Company.
2.2. "Services" refer to the installation, maintenance, or repair of the Products.
3. Orders
3.1. All orders placed with the Company are subject to acceptance and availability.
3.2. As all Products are custom-made to order, once an order is confirmed, it cannot be cancelled or refunded.
3.3. The Company requires a minimum 60% deposit before commencing work on any order.
3.4. Lead times are calculated from the date the deposit is received, and all required information is provided by the Client.
3.5. Errors and omissions apply. The Company prepares quotes based on the information and handing details as perceived at the time, which may be subject to misinterpretation. It is the Client's sole responsibility to ensure that the quote accurately reflects the correct doors, ironmongery, and handing requirements.
3.6. Receipt of the order and/or payment constitutes confirmation that the information on the quote is correct.
3.7. Orders may only be amended with the Company's written consent, and any changes may incur additional costs.
4. Pricing and Payment
4.1. Prices quoted are exclusive of VAT unless otherwise stated.
4.2. The balance of the payment is payable prior to delivery or as otherwise agreed in writing.
4.3. Full payment is required before installation. The Company does not release any Products unless paid for in full.
4.4. Goods remain the property of the Company until paid for in full.
4.5. If payment is not received within 60 days of installation, the Company reserves the right to remove the Products. The Client agrees to this removal as part of these Terms and Conditions.
4.6. Interest will be charged on any outstanding amounts at a rate of 2% per month.
5. Delivery and Lead Times
5.1. Delivery dates are estimates only and are not guaranteed.
5.2. Unless the Company is providing installation services, any goods delivered to the site that cannot be carried by the driver must be offloaded by the Client's personnel.
5.3. The Client is responsible for using proper equipment, such as forklifts, to offload crates, pallets, and heavy items.
5.4. Once the Client has collected the Products, any damages that occur during transit are the Client's responsibility, not the Company's.
5.5. The Client must ensure that the Products are securely strapped to prevent doors from sliding and causing damage during transportation. The Company does not provide strapping, so the Client must bring their own.
5.6. The Company shall not be liable for any delays in delivery due to circumstances beyond its control, including but not limited to strikes, lockouts, accidents, or supply chain disruptions.
5.7. The Client shall be responsible for inspecting products upon collection/delivery. Any claims for damage or shortages must be reported in writing within 3 days.
6. Warranties and Liability
6.1. The Company warrants that the Products supplied will be free from defects in materials and workmanship for 12 months from the date of delivery.
6.2. For door hardware and ironmongery, the warranties shall be those of the manufacturer and not of Stronghold.
6.3. This warranty does not apply to defects caused by improper installation, misuse, neglect, or unauthorized modifications.
6.4. The Company's liability shall be limited to the repair or replacement of defective Products. No liability shall be accepted for any indirect or consequential losses.
7. Collection and Storage
7.1. The Client is required to collect the Products within 14 days of being notified of completion.
7.2. If Products are not collected within 3 months of completion, the Company reserves the right to sell the uncollected goods to recover costs.
7.3. The Company does not provide storage space for uncollected Products, and storage fees will apply after the initial 14-day period.
7.4. Additional handling charges may be incurred due to the need to maneuverer around uncollected goods, impacting the Company's workflow.
7.5. If the Client stores Products on-site, they must be kept in a dry place, protected from exposure to the elements.
7.6. Products must be stored flat or on their side to prevent bowing and deformation of the doors.
7.7. Doors must be stored on blocks to keep them off the floor, and any ironmongery attached to the door must be adequately protected.
7.8. Improper storage may lead to changes in the form of the door, and under no circumstances should double doors be stored without adequate support blocks in the middle to avoid deformation
8. Installation Services
8.1. If installation services are provided, the Company will ensure that they are carried out professionally and in accordance with applicable safety standards.
8.2. Plastering performed by the Company is limited to patch plastering around the door frame only and does not include plastering of the entire wall. The Company will neaten the installation to the best of its ability.
8.3. Painting of doors, frames, and walls is not included in the installation unless specifically requested and paid for in advance.
8.4. The Client must inform the Company of any specialised site requirements in advance, including health and safety measures, site-specific risk assessments, safety files, clothing requirements, security protocols, standing time, forced breaks, or any other conditions that may impact the installation.
8.5. Any additional costs arising from specialised site requirements, including delays or required compliance, will be billed to the Client.
8.6. Aborted trips due to circumstances beyond the Company's control will be billed to the Client.
9. Intellectual Property
9.1. The Company retains all intellectual property rights in the Products, including designs, trademarks, and patents.
9.2. The Client may not reproduce or use the Company’s intellectual property without prior written consent.
10. Confidentiality
10.1. Any confidential information disclosed by the Company to the Client shall remain the property of the Company and shall not be disclosed to any third parties without written permission.
11. Limitation of Liability
11.1. The Company shall not be liable for any loss, damage, or injury resulting from the use of the Products or Services beyond the extent provided for in these Terms and Conditions.
11.2. The Company’s total liability under any circumstances shall not exceed the total amount paid by the Client for the Products or Services.
12. Governing Law and Jurisdiction
12.1. These Terms and Conditions shall be governed by the laws of South Africa.
12.2. Any disputes arising under these Terms and Conditions shall be resolved exclusively in the courts of South Africa.
13. Compliance with the Promotion of Access to Information Act (PAIA)
13.1. The Company is committed to complying with the provisions of the Promotion of Access to Information Act (PAIA) of South Africa.
13.2. Clients may request access to information held by the Company in accordance with PAIA, and such requests will be handled in accordance with the Act's procedures and timelines.
14. Amendments
14.1. The Company reserves the right to amend these Terms and Conditions at any time without prior notice. The latest version will be available on the Company's website.
